1. About these Terms

These Website Terms and Conditions govern your access to and use of the Naiman Clarke website, including its content, job advertisements, forms, resources and related online services.

The website is operated by Naiman Clarke Pty Ltd ABN 88 089 607 232 trading as Naiman Clarke.

In these Terms, Naiman Clarke, we, us and our refer to that entity.

By accessing or using this website, you agree to these Terms. If you do not agree, you must not use the website.

2. Our services

Naiman Clarke provides legal recruitment, executive search, career advisory, market intelligence and related services to candidates, law firms, corporations, government organisations and other employers.

Information on this website is provided for general informational and recruitment purposes only. The availability, scope and conditions of our services may change without notice.

Separate terms of business may apply to recruitment services provided to clients. Where separate written terms apply, those terms will prevail to the extent of any inconsistency with these Website Terms.

3. No legal, employment or professional advice

The content on this website is general in nature and does not constitute:

  • legal advice;
  • migration or immigration advice;
  • taxation or financial advice;
  • employment relations advice;
  • professional career advice tailored to your circumstances; or
  • a representation that any particular role, candidate or employment outcome is suitable for you.

You should obtain appropriate independent advice before acting on information that may affect your legal rights, employment, visa status, remuneration or financial position.

Although Naiman Clarke specialises in legal recruitment, we do not provide legal services through this website.

4. Job advertisements and opportunities

Job advertisements and opportunity descriptions may be based on information provided by clients and may be abbreviated, anonymised or updated during a recruitment process.

Unless expressly stated otherwise:

  • an advertisement does not constitute an offer of employment;
  • the publication of a role does not guarantee that the role remains available;
  • responsibilities, remuneration, location, working arrangements and selection criteria may change;
  • roles may be withdrawn, filled, placed on hold or closed without notice; and
  • a candidate's application does not guarantee an interview, submission, offer or placement.

We may decide not to progress or submit an application where we reasonably consider that the opportunity is unavailable, the candidate does not meet the client's requirements, a conflict or duplication exists, or progressing the application would otherwise be inappropriate.

Final hiring decisions are made by the relevant employer.

5. Candidate information and applications

You must ensure that information you provide to us is accurate, current and not misleading.

By submitting an application, résumé or professional information through the website, you confirm that:

  • the information is accurate to the best of your knowledge;
  • you are authorised to provide it;
  • it does not infringe another person's rights;
  • you will notify us of material changes; and
  • we may handle it in accordance with our Privacy Policy.

Submitting information through the website does not automatically authorise us to send your identifiable profile to every prospective employer.

Candidate submissions and recruitment processes will be managed in accordance with our Privacy Policy and any specific authority or instructions you provide.

You must not submit another person's résumé or personal information unless you have their authority to do so.

6. Client and employer enquiries

Employers may use the website to enquire about candidates, vacancies and recruitment services.

Information about candidates displayed or discussed through the website is confidential and must only be used for legitimate recruitment purposes.

A client must not:

  • contact a candidate introduced by Naiman Clarke outside the agreed recruitment process in an attempt to avoid applicable recruitment terms;
  • disclose candidate information to unauthorised persons;
  • use candidate information for an unrelated purpose; or
  • retain or distribute candidate information contrary to applicable privacy obligations.

The engagement or introduction of candidates may be subject to separate client terms of business and recruitment fees.

7. Website accounts, alerts and subscriptions

Where the website allows you to create an account, save jobs, submit applications or subscribe to alerts, you are responsible for:

  • keeping login details confidential;
  • ensuring information associated with your account is accurate;
  • activities conducted through your account; and
  • notifying us if you suspect unauthorised access.

We may suspend or terminate an account or subscription where we reasonably believe it has been misused, compromised or used contrary to these Terms.

You may unsubscribe from job alerts and marketing communications at any time.

8. Acceptable use

You must use this website lawfully and responsibly.

You must not:

  • breach any applicable law or regulation;
  • provide false, deceptive or misleading information;
  • impersonate another person or organisation;
  • upload malicious code, viruses or harmful material;
  • attempt to gain unauthorised access to the website, databases or systems;
  • interfere with the operation, availability or security of the website;
  • scrape, harvest, index or extract website data using automated means without our written permission;
  • reproduce or commercially exploit website content without authorisation;
  • use candidate, client or job information for an unauthorised purpose;
  • send unsolicited or unlawful communications through the website; or
  • use the website in a manner that could damage our reputation or the rights of another person.

We may restrict or block access where we reasonably believe these Terms have been breached.

9. Accuracy and availability

We take reasonable care when preparing and maintaining website content. However, to the maximum extent permitted by law, we do not guarantee that:

  • website content is accurate, complete, current or suitable for a particular purpose;
  • job advertisements remain available;
  • the website will be uninterrupted, error-free or free from harmful components;
  • defects will be corrected immediately; or
  • information obtained through the website will produce a particular recruitment or employment outcome.

You should independently verify information that is material to a decision.

We may modify, suspend or discontinue any part of the website without notice.

10. Intellectual property

Unless otherwise stated, the website and its content are owned by or licensed to Naiman Clarke and are protected by copyright, trade mark and other intellectual property laws.

This includes text, graphics, logos, branding, photographs, videos, databases, job advertisement formats, reports, publications, website design and software.

We grant you a limited, revocable, non-exclusive and non-transferable right to access and use the website for personal or legitimate internal business purposes.

You must not, without our prior written consent:

  • reproduce, republish, distribute, modify or commercially exploit website content;
  • remove copyright, trade mark or proprietary notices;
  • frame or mirror the website;
  • create derivative works from website content; or
  • use our name, branding or trade marks in a way that suggests endorsement or affiliation.

You may download or print reasonable extracts for personal job-search or internal recruitment purposes, provided the content is not altered and all proprietary notices are retained.

11. User-submitted content

Where you submit content to the website, including comments, testimonials, documents or other materials, you retain ownership of your content.

You grant us a non-exclusive, royalty-free licence to host, store, reproduce and use that content to the extent reasonably necessary to provide our services, operate the website and comply with our legal obligations.

You confirm that you have the necessary rights and permissions to submit the content.

We may remove content that is unlawful, misleading, infringing, inappropriate or inconsistent with these Terms.

12. Third-party websites and services

The website may contain links to third-party websites, job boards, professional networks, client websites and technology platforms.

Links are provided for convenience and do not necessarily indicate endorsement.

We do not control and are not responsible for the content, availability, security, terms or privacy practices of third-party services. You access third-party services at your own risk and should review their applicable terms and policies.

13. Privacy

We collect, use, store and disclose personal information in accordance with our Privacy Policy.

Our Privacy Policy forms part of these Terms and should be read before submitting personal information through the website.

14. Security

You must take reasonable precautions when communicating or submitting information online.

While we implement reasonable security measures, internet communications and electronic storage are not completely secure. We do not guarantee that information transmitted through the website will be free from interception, loss or unauthorised access.

You should not send highly sensitive information through general website forms or unsecured email unless requested and an appropriate process has been provided.

15. Consumer guarantees and limitation of liability

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded, including under the Competition and Consumer Act 2010 (Cth) and the Australian Consumer Law.

Subject to those rights, and to the maximum extent permitted by law:

  • the website and its content are provided on an "as available" basis;
  • we exclude implied representations, warranties and conditions that may lawfully be excluded;
  • we are not liable for loss arising solely from reliance on general website content;
  • we are not responsible for the acts, omissions, employment decisions or conduct of candidates, clients, employers or third-party service providers; and
  • we are not liable for indirect, consequential or special loss, loss of opportunity, loss of profit, loss of data or reputational damage arising from use of the website.

Where our liability cannot be excluded but may lawfully be limited, our liability will be limited to the maximum extent permitted by law.

16. Indemnity

To the extent permitted by law, you indemnify Naiman Clarke and its officers, employees and contractors against loss, liability, damage or reasonable expense arising from:

  • your unlawful or unauthorised use of the website;
  • information or content you submit that is false, misleading, unlawful or infringing;
  • your breach of these Terms; or
  • your infringement of another person's rights.

This indemnity does not apply to the extent that the loss was caused by our negligence, unlawful conduct or breach of these Terms.

17. Suspension and termination

We may suspend, restrict or terminate your access to the website where:

  • you breach these Terms;
  • your use presents a security, legal or reputational risk;
  • we are required to do so by law;
  • the website or relevant service is discontinued; or
  • we otherwise reasonably consider suspension necessary to protect the website, our users or our business.

Provisions concerning intellectual property, liability, indemnity, privacy and governing law survive termination.

18. Changes to these Terms

We may amend these Terms from time to time.

Updated Terms will be published on the website and will take effect from the stated effective date.

Your continued use of the website after the updated Terms take effect constitutes acceptance of the revised Terms.

19. General provisions

If any provision of these Terms is invalid, unlawful or unenforceable, that provision will be severed or read down to the minimum extent necessary. The remaining provisions will continue in effect.

A failure or delay in enforcing a right under these Terms does not waive that right.

These Terms constitute the agreement between you and us regarding use of the website, subject to any separate written agreement applying to specific recruitment services.

20. Governing law

These Terms are governed by the laws of New South Wales, Australia.

You submit to the non-exclusive jurisdiction of the courts of New South Wales and courts entitled to hear appeals from them.
